Terms of Service

Please read these Terms of Service carefully before using the Zolvd for Teams platform. By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

Zolvd for Teams is a web-based project governance platform for delivery teams, provided at pmo.zolvd.app. It provides tools for team-based project management, including RAID logs, RACI matrices, SLA/OLA tracking, escalation management, budget tracking, dashboards and reporting, and automated client status reporting.

2. Organisations and Members

The Service is organised around Organisations — the subscribing entity — and Members, the individual users an Organisation invites to access it. Members hold one of several role tiers (Owner/Admin, Contributor, Specialist, Limited, and, where enabled, External/Portal) that determine what they can see and do within the Organisation's account. An Organisation's Owner/Admin is responsible for managing which individuals are invited as Members and what role they hold.

3. Accounts and eligibility

To use the Service, you must be at least 18 years old and capable of entering into a legally binding agreement. You are responsible for maintaining the confidentiality of your login credentials. An Organisation's Owner/Admin is responsible for the conduct of Members they invite while those Members act within the Organisation's account.

4. Subscription plans, trials, and billing

Subscriptions are managed and billed by Paddle, who acts as Merchant of Record. Plan structure, pricing, seat/tier limits, and any free trial terms are described to you at checkout and confirmed in your Paddle receipt. By subscribing, you also agree to Paddle's terms of service. Subscriptions renew automatically unless cancelled before the renewal date. We do not issue refunds for unused portions of a billing period, except where required by Paddle's buyer protection policy, our Refund Policy, or applicable law.

5. Cancellation

An Organisation's Owner/Admin may cancel the subscription at any time through the Paddle billing portal or from the Organisation's billing settings. Cancellation takes effect at the end of the current billing period.

6. Zolvd as a facilitator

Zolvd for Teams is a governance and tracking tool for a subscribing Organisation's own project delivery work. We are not a party to any agreement, contract, or business relationship between an Organisation and its own clients — the client records an Organisation's Members enter and maintain within the Service belong to, and are the responsibility of, that Organisation.

7. No legal, tax, or professional advice

Nothing in the Zolvd for Teams platform constitutes legal, financial, tax, or professional advice. Reports, dashboards, RAG statuses, and other outputs generated are tools for your organisation's own governance and operational use only. Seek independent legal or professional advice where required.

8. Data responsibility

An Organisation is the responsible party (POPIA) and data controller (GDPR) for the personal data of its own clients and Members that it processes within the Service. Zolvd acts as operator/data processor, processing that data solely to provide the Service.

9. Acceptable use

You agree not to use the Service to violate any applicable law, transmit malicious content, attempt unauthorised access, or interfere with the platform's operation.

10. Intellectual property

The Zolvd for Teams platform is our intellectual property. Your Organisation retains full ownership of the data it creates within the platform.

11. Limitation of liability

To the maximum extent permitted by law, Zolvd shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount your Organisation paid us in the 12 months preceding the claim.

12. Governing law

These Terms are governed by the laws of the Republic of South Africa.
